FRANCHISE AGREEMENT


On this day, this Franchise Agreement was made and entered into by and between:

1) Dr. NIKOLAY SERDEV, owner of scarless “SERDEV lifting, suspension and augmentation techniques", hereafter referred to as the (“FRANCHISOR”) and

2) [.............] (doctor, company, seat and registered address), hereafter referred to as the (“FRANCHISEE”), represented by [.....................]

and both parties agree to fulfill the following obligations set forth herein based on mutual trust and sincerity.

The FRANCHISOR is the owner of a trade mark “SERDEV lifting, suspension and augmentation techniques", registered at the Patent Office of Republic of Bulgaria, community trade mark “Serdev suture”, class 44, registration number № 008871659, hereinafter referred to as the “PRODUCT” for the following kind of services: medical services – plastic, cosmetic and aesthetic surgery:

To be selected :

In face areas:
- temporal SMAS lift,
- supra-temporal SMAS lift,
-brow lift,
- lateral cantus lifting,
- mid face lift,
- cheekbone lift and/or augmentation,
- lower smas-platysma face and neck lift by sutures only or by using hidden retro-lobular incision
- chin enhancement, form and position correction,
- chin dimples and smiling dimples by suture
- scarless Serdev suture method in prominent ears
- nasal tip refinement,
- nasal tip rotation,
- allar base narrowing, , etc.
In body areas:
- scarless breast lift by suture,
- buttocks lift,
- abdominal flacidity tightening by suture,
- scarless suture inner thigh lift.


Article 1. (Purpose)
The Agreement is to stipulate the terms and conditions of the business partnership between the parties, which shall give possibility to the FRANCHISEE to procure Scarless "SERDEV SUTURE" lifting, suspension and augmentation techniques in the cosmetic surgery, the PRODUCT of the FRANCHISOR`s trade mark.

Article 2(Form of Partnership)
(1) The FRANCHISOR shall transfer to the FRANCHISEE a limited right to exercise in his medical practice the product scarless "SERDEV SUTURE" lifting, suspension and augmentation techniques, under the trade mark "SERDEV SUTURE" - “SUTURA SERDEV – FIO ELASTICO BULGARO”, into the scope of the territory under Article.4
